1. Definitions

"Work" means the ferrant software, documentation, and other materials
distributed with this license. "Licensor" means the copyright holder(s) of the
Work. "You" means an individual or legal entity exercising permissions under
this license. "Commercial Use" means use intended for or directed toward
commercial advantage or monetary compensation. "Annual Recurring Revenue"
("ARR") means the recurring revenue of You and the entities that control, are
controlled by, or are under common control with You, measured over the
preceding twelve months.

2. License Grant

Subject to this license, Licensor grants You a worldwide, non-exclusive,
royalty-free, non-transferable license to use, copy, modify, create derivative
works of, and distribute the Work.

3. Research, Education, and Non-Commercial Use

You may use the Work for any research, academic, educational, personal, or
other non-commercial purpose without a revenue limit. This includes conducting,
publishing, reproducing, and sharing research and experimental work.

4. Commercial Use Below the ARR Threshold

You may use, modify, and distribute the Work for Commercial Use while Your ARR
is less than US$1,000,000. This permission includes offering products or
services that incorporate the Work.

5. Commercial Use at or Above the ARR Threshold

If Your ARR reaches or exceeds US$1,000,000, the Commercial Use permission in
Section 4 ends on the date the threshold is reached. To continue Commercial Use
after that date, You must obtain a separate written commercial license from
Licensor. Research, education, and other non-commercial use remain permitted
under Section 3.

6. Redistribution

When distributing the Work or a derivative work, You must provide recipients a
copy of this license and retain all copyright, trademark, and attribution
notices. You must clearly state that You modified any modified files.

7. Trademarks

This license does not grant permission to use Licensor's trade names,
trademarks, service marks, or product names, except as reasonably necessary to
describe the origin of the Work or comply with Section 6.

8. No Warranty

THE WORK IS PROVIDED "AS IS", WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND,
EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS
FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. YOU ARE SOLELY
RESPONSIBLE FOR DETERMINING WHETHER YOUR USE OF THE WORK IS APPROPRIATE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE
FOR ANY DAMAGES ARISING FROM THIS LICENSE OR THE USE OF OR INABILITY TO USE THE
WORK, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
CONSEQUENTIAL DAMAGES.

10. Termination

Your rights under this license terminate automatically if You materially breach
its terms. On termination, You must stop using and distributing the Work unless
You obtain a separate written license from Licensor.
