SUPPLY AGREEMENT

This Supply Agreement is entered into as of March 18, 2026 by and between Acme Corp and Vandelay Imports LLC.

Acme Corp, with offices at 42 Maple Street, Springfield, IL 62704.

Vandelay Imports LLC, with offices at 31 Industry Way, Queens, NY 11101.

Terms

• Scope: quarterly supply of edge-server hardware
• Term: 18 months with a rolling forecast
• Fees: $720,000 over the term, invoiced on delivery
• Quality: 2.0% maximum defect rate, RMA within 30 days

Total value: $720,000.
