AADC COMMUNITY EDITION LICENCE AGREEMENT

This Community Edition Licence Agreement ("Agreement") is a legal agreement between
MatLogica Limited, a company incorporated in England and Wales (company number 12390744),
with registered address at 7 Bell Yard, London WC2A 2JR ("Licensor"), and the individual
or entity that installs or uses the Software ("You").

By downloading, installing, copying, or using the Software, You accept this Agreement.
If You are acting on behalf of an entity, You represent that You have authority to bind that
entity, and "You" includes that entity. An entity that permits continued use of the Software
after becoming aware of this Agreement thereby accepts it. If You do not accept this
Agreement, do not install or use the Software.

KEY RESTRICTIONS — READ FIRST. This is a free licence for non-commercial and academic
use only: (i) no Production Use (Clause 2.3 — commercial
production requires a separate licence); (ii) no publication of benchmarks, performance
results, or research featuring the Software without Licensor's prior written consent
(Clause 4); (iii) the Software is provided without warranty and Licensor's liability is excluded
to the fullest extent permitted by law (Clauses 7–8).

1. DEFINITIONS

1.1 "Software" means the AADC Community Edition automatic adjoint differentiation
library in binary form as distributed by Licensor (including via the Python Package Index),
together with its documentation, but excluding Third-Party Components and excluding any
functionality that is only enabled by a Licence File.

1.2 "Community Functionality" means the functionality of the Software as distributed
and operable without a Licence File. For information: the Community Edition is a
reduced-performance edition. The following are available only under a separate licence
from Licensor, as at the date of publication:

  (a) the AVX-512 vector instruction set;
  (b) double-precision GPU code generation, and GPU code generation targeting
      data-centre GPU architectures;
  (c) serialisation of recorded computation kernels and tapes;
  (d) compiling and linking Your own code in C++ against the Software's C++
      headers, and tracing such C++ code back to its source; and
  (e) such advanced pricing or numerical methods within Licensor's integration
      packages as are identified in the documentation as requiring a licence.

For the avoidance of doubt, Community Functionality includes the Python interfaces on
every supported platform, scalar execution on every supported platform, AVX2, and vector
execution on 64-bit ARM platforms (Apple Silicon and other ARM), in both float and double
precision, float GPU code generation on consumer GPU architectures, multithreaded kernel
execution, just-in-time compilation for any of the foregoing, the complete
automatic-differentiation semantics and diagnostics, the basic functionality of Licensor's
integration packages, and tracing of code written in Python.

The Software reports its licence state via its documented API and start-up notice.

1.3 "Licence File" means a digitally signed file issued by Licensor that enables
additional functionality and/or grants additional rights under a separate agreement with
Licensor.

1.4 "Outputs" means numerical results, recorded computation kernels, and other data
generated by running the Software.

1.5 "Non-Commercial Use" means use by a natural person for personal study, personal
research, hobby projects, or the development of publicly available open-source software,
in each case where no direct or indirect commercial advantage, payment, or other monetary
compensation is sought or received by any person in connection with that use.

1.6 "Academic Use" means use for non-commercial academic research or teaching by a
student enrolled at, or a researcher or faculty member employed by, a degree-granting
university, recognised government research institute, or registered charitable research
organisation that does not primarily conduct research on a commercial basis.

1.7 "Production Use" means any use of the Software or its Outputs other than
Non-Commercial Use or Academic Use, including without limitation any use in
which Outputs:
(a) inform, support, or effect actual trading, hedging, investment, pricing, valuation,
margin, collateral, capital, or risk-management decisions of any person;
(b) are recorded in the books and records of any business;
(c) are provided to any client, customer, counterparty, investor, or auditor, or are
incorporated into any deliverable or service provided to a third party;
(d) are submitted to any regulator, or are used to compute any figure that is submitted to a
regulator or used to satisfy a regulatory or statutory requirement; or
(e) are generated by any system that runs on a live, scheduled, or recurring basis as part of
a business process.
Use of the Software in the development, testing, staging, UAT, or disaster-recovery
environments of a system whose outputs are or are intended to be used as described in
(a)–(e) is also Production Use.

1.8 "Competing Product" means any software library, compiler, tool, or system that
provides automatic differentiation, adjoint algorithmic differentiation, or functionally
equivalent gradient-computation capabilities intended for sale or distribution to third
parties.

1.9 "Third-Party Components" means open-source or third-party software distributed
with the Software, identified in the accompanying THIRD-PARTY-NOTICES file, and licensed
under their own terms.

2. LICENCE GRANTS

Subject to Your compliance with this Agreement, Licensor grants You a non-exclusive,
non-transferable, non-sublicensable, royalty-free licence to install and use the Software, in
binary form only, as follows:

2.1 Non-Commercial Grant. For Non-Commercial Use: perpetual for each version of the
Software You have lawfully downloaded (each version is licensed as distributed; future
versions may be distributed on different terms).

2.2 Academic Grant. For Academic Use: perpetual per downloaded version, on the same basis
as Clause 2.1. (A separate free Academic Licence with full performance features is
available from Licensor on registration — see Clause 6.)

2.3 No Production Use. Nothing in this Agreement permits Production Use. Production
Use requires a separate commercial licence agreement with Licensor. (A commercial user who
wishes to evaluate the Software takes a commercial evaluation licence — see Clause 6 — not
this free Community licence.)

2.4 Internal mirroring. You may cache or mirror the unmodified Software distribution on
internal package repositories (e.g. a corporate PyPI proxy) solely to facilitate installation
by users who are themselves licensed under this Agreement.

3. RESTRICTIONS

You shall not, and shall not permit any third party to:

3.1 use the Software or Outputs for Production Use without a commercial licence;

3.2 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source
code or underlying algorithms of the Software, except to the extent expressly permitted by
applicable law that cannot be excluded by contract;

3.3 use the Software, its Outputs, or its documentation to design, develop, train,
improve, or evaluate the feasibility of any Competing Product, or as a reference
implementation or performance baseline for any Competing Product;

3.4 use the Software, its Outputs, or its documentation as training or fine-tuning data
for any machine learning model or system whose primary or substantial purpose is to
replicate, approximate, or substitute for the functionality of the Software;

3.5 redistribute, sell, rent, lease, sublicense, bundle, embed, or otherwise make the
Software available to any third party, except as permitted by Clause 2.4. For the avoidance
of doubt, publicly available software may declare the Software as an optional dependency
to be obtained by end users directly from Licensor's official distribution channels, but may
not include, vendor, or repackage the Software itself;

3.6 circumvent, disable, tamper with, or spoof the Software's licence mechanism or any
Licence File, or use a Licence File issued to another person or entity;

3.7 remove, obscure, or alter any proprietary notices, licence state notices, or
attribution embedded in or emitted by the Software;

3.8 use the Software in violation of applicable export control or sanctions laws, or if
You or any beneficial owner of Your entity is a sanctioned person or entity under UK, EU, or
US sanctions regimes.

4. PUBLICATIONS

4.1 You shall not publish, present, or otherwise publicly disclose any benchmark,
performance result, test result, evaluation finding, or research output featuring or obtained
using the Software — including in academic papers, theses, conference materials, press
releases, blog posts, public repositories, or social media — without Licensor's prior written
consent. Consent requests may be made to info@matlogica.com.
Consent shall not be unreasonably withheld or delayed where the material is accurate, the
Software version and methodology are stated, and the context is fairly presented; Licensor
will endeavour to respond within thirty (30) days. For peer-reviewed academic publications,
if Licensor does not respond within thirty (30) days of receiving a written consent request
accompanied by the final manuscript, consent is deemed granted for that manuscript.

4.2 Clause 4.1 does not prohibit accurate, factual statements that Your software depends
on or inter-operates with the Software (for example, a dependency declaration or a README
reference), provided no performance results or evaluation findings are disclosed.

4.3 Where consent is granted, the publication shall include the acknowledgement:
"Computations performed using the AADC automatic adjoint differentiation library
(MatLogica Ltd, matlogica.com)."

5. INTELLECTUAL PROPERTY; FEEDBACK

5.1 The Software is licensed, not sold. Licensor and its licensors retain all
intellectual property rights in the Software. You acquire no rights other than those
expressly granted in Clause 2.

5.2 As between the parties, You own Your data processed by the Software and Your Outputs,
subject to the use restrictions in this Agreement.

5.3 If You provide feedback, suggestions, or ideas regarding the Software, Licensor may
use and incorporate them without restriction or obligation to You.

5.4 This Agreement grants no rights to use Licensor's trade marks, save for accurate,
factual references to the Software.

6. UPGRADES AND OTHER LICENCES

6.1 Additional functionality and additional rights — a full-performance Academic Licence
(free, on registration), and commercial licences (which include a commercial evaluation) —
are available from Licensor under separate agreements and are enabled by Licence Files.

6.2 Installing a Licence File does not vary this Agreement; the separate agreement under
which the Licence File was issued governs the additional functionality and rights.

7. NO SUPPORT; NO WARRANTY

7.1 Licensor has no obligation to provide support, updates, or maintenance for the
Community Edition, but may do so at its discretion (e.g. via public issue trackers).

7.2 THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED
BY LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING SATISFACTORY
QUALITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. LICENSOR DOES NOT
WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. LIABILITY

8.1 The Software is provided free of charge. To the maximum extent permitted by law,
Licensor shall have no liability to You whatsoever under or in connection with this Agreement
or the Software, whether in contract, tort (including negligence), breach of statutory duty, or
otherwise. Without limiting the generality of the foregoing, and only to the extent any
liability cannot lawfully be wholly excluded, Licensor's total aggregate liability to You is
limited to ten pounds sterling (£10).

8.2 Licensor shall not be liable for loss of profits, revenue, or anticipated savings;
loss or corruption of data; loss of business or goodwill; or any indirect, special, or
consequential loss.

8.3 Nothing in this Agreement limits liability for death or personal injury caused by
negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be
excluded by applicable law.

8.4 If You are a consumer, nothing in this Agreement affects Your statutory rights,
including any remedy available to You under section 46 of the Consumer Rights Act 2015
(damage to a device or to other digital content), and Clauses 7.2, 8.1, and 8.2 apply to You
only to the extent permitted by applicable consumer protection law.

9. TERM AND TERMINATION

9.1 This Agreement takes effect when You first install or use the Software and continues
until terminated.

9.2 This Agreement terminates automatically and immediately if You breach any of Clauses
2.3, 3.1–3.6, or 3.8. Licensor may otherwise terminate on written notice (including notice
published with a Software release) if You materially breach this Agreement and fail to remedy
the breach within thirty (30) days of notice.

9.3 On termination, all licences granted to You under this Agreement cease, and You shall
promptly cease all use and delete all copies of the Software. Clauses 1, 3, 4, 5, 7, 8, 9.3,
and 10 survive termination.

10. GENERAL

10.1 This Agreement is governed by the law of England and Wales, and the parties submit to
the exclusive jurisdiction of the English courts, save that Licensor may seek injunctive
relief in any jurisdiction to protect its intellectual property rights.

10.2 This Agreement is the entire agreement between You and Licensor concerning the
Community Edition and supersedes any prior understanding relating to it. If You have a signed
agreement with Licensor covering the Software, that agreement prevails over this one to the
extent of any conflict.

10.3 You may not assign this Agreement. Licensor may assign it to an affiliate or
successor.

10.4 If any provision is held invalid, the remainder continues in effect. Failure to
enforce a term is not a waiver. A person who is not a party has no rights under the Contracts
(Rights of Third Parties) Act 1999.

10.5 Third-Party Components are licensed under their own terms (see THIRD-PARTY-NOTICES);
this Agreement does not limit Your rights under those licences.
