inventor-kit License Notice

Licensor and commercial contracting entity: UnRobotics Inc.
https://www.un-robotics.com/

Starting with version 0.3.0, the inventor-kit material offered under the new
terms is available under the PolyForm Noncommercial License 1.0.0, unless
you have a separate written commercial agreement with UnRobotics Inc.

The unmodified PolyForm terms are in:
  licenses/PolyForm-Noncommercial-1.0.0.md
  https://polyformproject.org/licenses/noncommercial/1.0.0

For use outside those permissions, including commercial internal use and
commercial product integration, see COMMERCIAL-LICENSE.md or contact:
  https://www.un-robotics.com/#contact
The commercial information document does not itself grant a license.

Earlier MIT material and third-party components

Versions 0.1.0 and 0.2.0, and source previously made available under MIT,
retain their MIT permissions. This includes the public source at commit
440f149fe96a4c8e7f207ce621919284f6a1f621. Applying a new version number or
including that material in a later distribution does not revoke those rights.
The original notice is preserved verbatim in
licenses/inventor-kit-legacy-MIT.txt. It does not grant MIT permissions to
all subsequent additions made available only under the new terms.

Third-party material retains its own licenses and copyright notices.
See THIRD_PARTY_NOTICES.md and the accompanying license texts. The separate
cq-acis, acis-core and acis-py-bridge projects are not relicensed by this notice.
Copyright ownership remains with the respective holders; identifying the
licensor here does not transfer ownership to UnRobotics Inc.

Required Notice: inventor-kit is licensed by UnRobotics Inc. (https://www.un-robotics.com/).
Required Notice: inventor-kit 0.3.0 and later offer new material under PolyForm Noncommercial 1.0.0; separate commercial licenses are available.

# Commercial licensing

This document describes available licensing arrangements. **It does not grant
any license.** Rights arise only under a written agreement accepted by
UnRobotics Inc. and the customer, subject to that agreement's payment terms.

The licensor and commercial contracting entity is **UnRobotics Inc.**
Use the [commercial contact form](https://www.un-robotics.com/#contact) to
describe your organization, application, target platforms and distribution needs.

## Plans

| Plan | Intended scope | Pricing basis |
| --- | --- | --- |
| Internal | A named legal entity's internal business use, applications, development, modification, testing, CI and backups | Annual fee per legal entity |
| OEM | Internal rights for that entity, plus integration into a named product, distribution of its runtime and end-user execution rights | Annual base fee per product and agreed distribution band |

Affiliates and additional products must be named in the agreement. Contractors
may act for the licensed entity under the agreed conditions. Internal includes
human-operated contract conversion or analysis that delivers outputs only;
delivering executable software requires OEM scope. Customer-operated hosted
services or APIs require a SaaS addendum.

An OEM runtime can include the native extension, required Python modules and
viewer assets. End users need not purchase individual licenses from us when
their execution rights are covered by the OEM agreement. Providing a development
SDK for other organizations to build and redistribute their own products
requires an SDK redistribution addendum; ordinary OEM execution rights do not
include that grant. SaaS and further sublicensing are agreed separately.

## Term, evaluation and support

The standard commercial term is 12 months; prices are quoted individually.
OEM includes Internal use for the same entity, without a second Internal fee.
An Internal-to-OEM upgrade credits the remaining Internal term as specified in
the quotation. We do not meter converted files or require online activation.

Internal and SaaS commercial use ends at expiry unless renewed or separately
licensed. OEM end users may continue running products lawfully distributed
during the term. New shipments and update distribution end at expiry unless
the agreement grants surviving maintenance distribution rights. Fixed-version
perpetual use and long-term runtime distribution are separately quoted.

Companies can request a separate, normally free 30-day evaluation license
before evaluation begins. It covers internal feasibility testing, not production
or customer delivery. Downloading the public package does not create that
evaluation license or an automatic commercial trial.

Standard updates and ordinary technical inquiries are included as agreed.
Custom format support, customer-specific fixes, response-time commitments and
vendor-system validation require separate scope and fees. Validate representative
files against the [supported profiles](docs/support.md) before contracting;
payment does not imply support for all Inventor files or current Model States.

## Independent rights

The agreement covers only rights the licensor can grant. Third-party conditions
and existing MIT permissions remain in effect, including after expiry of a
commercial agreement. Customers retain their rights in their data and outputs;
we do not claim additional ownership or output-based royalties in converted
STEP files, images or extracted properties. Rights in the input data and any
third-party material remain the customer's responsibility.

Use already permitted by the [PolyForm terms](licenses/PolyForm-Noncommercial-1.0.0.md)
does not require a commercial contract. This document does not narrow those
permissions. The signed agreement defines the precise scope, fees, warranties,
liability limits, termination provisions and governing law.

# PolyForm Noncommercial License 1.0.0

<https://polyformproject.org/licenses/noncommercial/1.0.0>

## Acceptance

In order to get any license under these terms, you must agree to them as both strict obligations and conditions to all your licenses.

## Copyright License

The licensor grants you a copyright license for the software to do everything you might do with the software that would otherwise infringe the licensor's copyright in it for any permitted purpose. However, you may only distribute the software according to [Distribution License](#distribution-license) and make changes or new works based on the software according to [Changes and New Works License](#changes-and-new-works-license).

## Distribution License

The licensor grants you an additional copyright license to distribute copies of the software. Your license to distribute covers distributing the software with changes and new works permitted by [Changes and New Works License](#changes-and-new-works-license).

## Notices

You must ensure that anyone who gets a copy of any part of the software from you also gets a copy of these terms or the URL for them above, as well as copies of any plain-text lines beginning with `Required Notice:` that the licensor provided with the software. For example:

> Required Notice: Copyright Yoyodyne, Inc. (http://example.com)

## Changes and New Works License

The licensor grants you an additional copyright license to make changes and new works based on the software for any permitted purpose.

## Patent License

The licensor grants you a patent license for the software that covers patent claims the licensor can license, or becomes able to license, that you would infringe by using the software.

## Noncommercial Purposes

Any noncommercial purpose is a permitted purpose.

## Personal Uses

Personal use for research, experiment, and testing for the benefit of public knowledge, personal study, private entertainment, hobby projects, amateur pursuits, or religious observance, without any anticipated commercial application, is use for a permitted purpose.

## Noncommercial Organizations

Use by any charitable organization, educational institution, public research organization, public safety or health organization, environmental protection organization, or government institution is use for a permitted purpose regardless of the source of funding or obligations resulting from the funding.

## Fair Use

You may have "fair use" rights for the software under the law. These terms do not limit them.

## No Other Rights

These terms do not allow you to sublicense or transfer any of your licenses to anyone else, or prevent the licensor from granting licenses to anyone else. These terms do not imply any other licenses.

## Patent Defense

If you make any written claim that the software infringes or contributes to infringement of any patent, your patent license for the software granted under these terms ends immediately. If your company makes such a claim, your patent license ends immediately for work on behalf of your company.

## Violations

The first time you are notified in writing that you have violated any of these terms, or done anything with the software not covered by your licenses, your licenses can nonetheless continue if you come into full compliance with these terms, and take practical steps to correct past violations, within 32 days of receiving notice. Otherwise, all your licenses end immediately.

## No Liability

***As far as the law allows, the software comes as is, without any warranty or condition, and the licensor will not be liable to you for any damages arising out of these terms or the use or nature of the software, under any kind of legal claim.***

## Definitions

The **licensor** is the individual or entity offering these terms, and the **software** is the software the licensor makes available under these terms.

**You** refers to the individual or entity agreeing to these terms.

**Your company** is any legal entity, sole proprietorship, or other kind of organization that you work for, plus all organizations that have control over, are under the control of, or are under common control with that organization. **Control** means ownership of substantially all the assets of an entity, or the power to direct its management and policies by vote, contract, or otherwise. Control can be direct or indirect.

**Your licenses** are all the licenses granted to you for the software under these terms.

**Use** means anything you do with the software requiring one of your licenses.
