Lacuna Commercial License Agreement

This Commercial License Agreement ("Agreement") governs use of the Lacuna
software ("Software") by entities and organizations requiring terms beyond those
provided by the GNU Affero General Public License, version 3 or later ("AGPL").

Lacuna is available at no cost under the AGPL for any use. The AGPL is a strong
copyleft license: anyone who distributes a modified version of the Software, or
makes a modified version available to users over a network (e.g. as a hosted or
SaaS service), must release the complete corresponding source code of that
version under the AGPL. This Commercial License provides a proprietary-use
exception to those obligations, together with warranties, indemnification,
support, and custom development, for organizations that require them.

COMMERCIAL LICENSE PROVIDES:

0. PROPRIETARY-USE EXCEPTION. Licensee may incorporate, link, modify, and deploy
   the Software in closed-source products and in hosted/network services without
   the source-disclosure obligations of AGPL sections 5, 6, and 13, subject to
   the terms of a separately executed agreement.

1. INDEMNIFICATION. Licensor will defend and indemnify Licensee against third-
   party intellectual property claims arising from Licensee's authorized use of
   the Software, subject to the terms of a separately executed agreement.

2. WARRANTY. Licensor provides a limited warranty that the Software will
   perform materially as described in the documentation for 90 days from
   delivery, with remedies defined in the separately executed agreement.

3. SUPPORT. Licensee receives priority bug fixes, direct email/phone support,
   and guaranteed response times as specified in the separately executed
   agreement.

4. CUSTOM DEVELOPMENT. Licensor will develop custom features, integrations, or
   validated workflows for Licensee under a statement of work.

5. DEPLOYMENT RIGHTS. For organizations requiring deployment in air-gapped or
   restricted environments, Licensor provides deployment assistance and
   site-specific licensing under this agreement.

by a separately executed commercial agreement. Nothing in this document
