Cover note to opposing counsel:

Dear Counsel,

We write on behalf of the Acquirer in connection with the proposed acquisition
of the Target. Enclosed is our preliminary due-diligence request list, organized
by category for ease of reference. To keep the review on schedule, we ask that
the Target populate a data room and provide a data-room index within ten
business days of this letter; where a requested item does not exist or is not
applicable, a short note to that effect in the index will suffice. Nothing in
this letter or the enclosed list should be read as a comment on the terms of the
proposed transaction, which remain under discussion between the principals.

Kind regards,
Counsel for the Acquirer
