MASTER SERVICES AGREEMENT

This Master Services Agreement (the "Agreement") is entered into as of March 3, 2026 (the
"Effective Date") by and between Northwind Analytics GmbH, a company organized under the laws
of Germany with its registered office at Kaiserstrasse 112, 60313 Frankfurt am Main, Germany
("Provider"), and Beacon Retail Group, Inc., a Delaware corporation with its principal place of
business at 4800 Lakeside Commons Drive, Suite 1200, Atlanta, Georgia 30339, United States
("Customer"). Provider and Customer are each a "Party" and together the "Parties".

RECITALS

WHEREAS, Provider is in the business of delivering data engineering, forecasting, and analytics
services; and WHEREAS, Customer desires to engage Provider to deliver such services under the
terms set out below; NOW, THEREFORE, in consideration of the mutual covenants contained herein,
the Parties agree as follows.

1. SERVICES

1.1 Scope. Provider shall deliver the demand-forecasting platform described in Statement of
Work No. 1, including data pipeline construction, model training, weekly forecast delivery, and
quarterly accuracy reviews. Provider shall assign Dr. Elena Vasquez as engagement lead and
Marcus Chen as technical architect for the duration of the engagement.

1.2 Service Levels. Provider shall maintain platform availability of at least 99.5% measured
monthly, excluding scheduled maintenance windows announced at least five business days in
advance. Provider shall respond to severity-one incidents within thirty minutes and resolve
them within four hours.

1.3 Personnel Obligations. Provider shall ensure that all personnel assigned to the Customer
account complete Customer's vendor security training within ten business days of assignment and
shall not subcontract any portion of the services without Customer's prior written consent,
which consent shall not be unreasonably withheld.

2. FEES AND PAYMENT

2.1 Fees. Customer shall pay Provider a fixed monthly fee of USD 84,500, invoiced monthly in
arrears. Invoices are payable within forty-five days of receipt by wire transfer to the account
designated by Provider in writing.

2.2 Late Payment. Any amount not paid when due shall accrue interest at the lesser of one
percent per month or the maximum rate permitted by applicable law.

2.3 Expenses. Customer shall reimburse Provider for reasonable, pre-approved travel expenses
incurred in connection with on-site work at Customer's Atlanta headquarters, provided that
individual expense items exceeding USD 500 require written pre-approval from Customer's program
manager, Danielle Okafor.

3. TERM AND TERMINATION

3.1 Term. This Agreement commences on the Effective Date and continues for an initial term of
twenty-four months, after which it renews automatically for successive twelve-month periods
unless either Party gives written notice of non-renewal at least ninety days before the end of
the then-current term.

3.2 Termination for Convenience. Customer may terminate this Agreement or any Statement of Work
for convenience upon sixty days' prior written notice to Provider, in which case Customer shall
pay all fees accrued through the effective date of termination plus a wind-down fee equal to
one month of the then-current monthly fee.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written
notice if the other Party materially breaches this Agreement and fails to cure such breach
within thirty days after receiving written notice describing the breach in reasonable detail.

4. CONFIDENTIALITY AND DATA PROTECTION

4.1 Confidential Information. Each Party shall protect the other Party's confidential
information with at least the same degree of care it uses to protect its own confidential
information, and in no event less than reasonable care, and shall use such information solely
to perform its obligations under this Agreement.

4.2 Data Protection. Provider shall process Customer personal data only on documented
instructions from Customer, shall maintain the technical and organizational measures described
in Annex 2, and shall notify Customer without undue delay and in any event within seventy-two
hours after becoming aware of a personal data breach affecting Customer data.

5. INDEMNIFICATION

5.1 Provider Indemnity. Provider shall defend, indemnify, and hold harmless Customer and its
officers, directors, and employees from and against any third-party claim alleging that the
services or deliverables infringe any patent, copyright, or trade secret, and shall pay all
damages finally awarded and reasonable attorneys' fees, provided that Customer promptly
notifies Provider of the claim and gives Provider sole control of the defense and settlement.

6. GENERAL

6.1 Governing Law. This Agreement is governed by the laws of the State of New York, without
regard to its conflict of laws principles, and the Parties consent to the exclusive
jurisdiction of the state and federal courts located in New York County, New York.

6.2 Notices. Notices under this Agreement must be in writing and delivered to Northwind
Analytics GmbH, Attn: Legal Department, Kaiserstrasse 112, 60313 Frankfurt am Main, Germany, or
to Beacon Retail Group, Inc., Attn: General Counsel, 4800 Lakeside Commons Drive, Suite 1200,
Atlanta, Georgia 30339, United States, as applicable.

6.3 Entire Agreement. This Agreement, together with its annexes and any executed Statements of
Work, constitutes the entire agreement between the Parties regarding its subject matter and
supersedes all prior agreements and understandings, whether written or oral.

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
