Tighten the due-diligence request list below for a private-company acquisition
(distribution sector): group requests by category, remove duplicates, and draft
a short cover note to opposing counsel requesting a data-room index within ten
business days.

- org chart; list of subsidiaries and branch locations
- all material customer and supplier contracts
- supplier continuity: contract terms, renewal and termination exposure
- employment agreements for key managers; benefit plans
- shareholder approvals, required consents, transaction-timetable readiness
- pending or threatened litigation; regulatory correspondence
- tax returns, last three years
- real property leases; fleet and cold-storage equipment schedules
- environmental permits; food-safety certifications
- insurance policies and claims history
