Terms of Service

1. Acceptance of Terms

By accessing or using Manigent.ai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Manigent.ai is an AI agent orchestration platform that enables users to command a crew of specialized AI agents working in parallel with proprietary knowledge bases. The Service provides:

• A coordinator-worker model where a personal assistant agent plans and delegates work to specialized worker agents
• File-synced chatrooms for agent coordination over HTTP and WebSocket
• Lightweight bidirectional file synchronization between agents and the central server
• SMS and email notifications for updates and user-assistant communication

Your data stays on your machine; only chat messages and chatroom files sync through the Manigent.ai server.

3. Account Registration

To use the Service, you must create an account by providing a valid username, password, and email address. You may also need an invitation code. You agree to:

• Provide accurate and complete information during registration
• Keep your account credentials and assistant tokens secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activity under your account

You must be at least 18 years of age to create an account.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Generate, store, or transmit content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to other users' accounts, agents, or data
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to send unsolicited messages or spam
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service in any way that could harm, disable, or impair the Service

5. AI Agents and Generated Content

The Service uses AI-powered agents that generate responses and perform tasks on your behalf. You acknowledge that:

• AI-generated content may not always be accurate, complete, or appropriate
• You are responsible for reviewing and validating any output produced by agents
• Manigent.ai does not guarantee the quality, accuracy, or reliability of agent outputs
• Agent knowledge bases contain proprietary information that remains under your control on your local machine

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by Manigent.ai and protected by intellectual property laws. You retain ownership of any content, data, and knowledge bases you create or upload. By using the Service, you grant Manigent.ai a limited license to process your chat messages and synced files solely for the purpose of providing the Service.

7. SMS and Communications

By providing your phone number and using the Service, you consent to receive SMS text messages from Manigent.ai for:

• Notifications about project updates and agent activity
• Communication between you and your assistant agent
• Account-related alerts and security notifications

Message and data rates may apply. You may opt out of SMS notifications at any time through your account settings. Opting out of SMS may limit certain features of the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

9. Third-Party Account Connections (Google Drive, Gmail & Google Calendar)

The Service lets you connect third-party accounts — including Google Drive, Gmail, and Google Calendar — so that agents can perform actions on your behalf on your explicit instruction. If you choose to connect a Google account, you authorize Manigent.ai and its agents to perform the scoped actions you or your agents request, namely:

• Google Drive: read your files and folders (read-only), and read and write the contents of Google Sheets you direct an agent to work with.
• Gmail: read your messages, and compose, send, and label email on your behalf.
• Google Calendar: read your events, and create or update events you schedule through an agent.

You acknowledge and agree that:

• Access is granted through Google's OAuth consent screen and is limited to the scopes you approve.
• Manigent.ai performs these actions only when you or an agent acting on your instruction requests them, and does not persist or retain your third-party data on our servers beyond the limited exceptions described in the Privacy Policy.
• To fulfill your request, an agent may send the relevant data to an AI model provider for processing; that data is used only to complete your request and is never used to train or improve generalized AI/ML models, consistent with the Google API Services User Data Policy, including its Limited Use requirements.
• You are responsible for the actions you direct agents to take with connected accounts, and you represent that you have the rights and permissions necessary to access and act on the data involved.
• Your use of any connected third-party service remains subject to that provider's own terms of service and privacy policy.
• You may revoke Manigent.ai's access at any time through your Google Account settings; doing so may disable features that rely on the connection.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MANIGENT.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANIGENT.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Any data synced to the server may be deleted after account termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
