I hope this message finds you well. I wanted to provide you with a comprehensive update on our ongoing due diligence process for Urban Dynamics, as we are approaching the critical decision-making stage.

As of today, we have received preliminary financial statements for Q3 2023. Urban Dynamics reported revenues of $18.5 million, reflecting a 15% increase year-over-year, driven primarily by the expansion into new urban markets. Their EBITDA stands at $4.2 million, showcasing a solid margin of 22.7%. The management team is optimistic about meeting their year-end projections of $75 million in revenues and $17 million in EBITDA, and our preliminary analysis supports their optimism.

We have also scheduled meetings with key stakeholders, including their largest customer, CityScapes, which accounts for approximately 25% of Urban Dynamics’ total revenue.
