  FREE:   Run Meridian locally or self-host internally for any purpose —
          personal, commercial, research, internal tooling. Any team size.
          Connecting to a hosted database (Neon, Supabase, etc.) is free.
          Writing internal deployment guides for your own organization is free.

  PAID:   Hosting Meridian as a service for others. Building a competing
          coordination platform for third parties. Publishing open-internet
          guides or tooling whose primary purpose is enabling third parties
          to commercially operate Meridian or a Competing Use product.

  NEVER:  The above during the Protection Period without a commercial
          license from us.

  LATER:  After 5 years from first public release of each version, that
          version automatically becomes MIT — no strings attached.

TERMS AND CONDITIONS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━

1. DEFINITIONS

   "Licensor" means Adam Camerer, copyright holder of the Software.

   "Software" means the Meridian source code, binaries, documentation,
   and all associated files distributed under this license.

   "Protection Period" means five (5) years from the date each version
   of the Software is first publicly distributed. Each version carries
   its own independent Protection Period from its own release date.

   "Change Date" means the date five (5) years after the first public
   distribution date of a given version of the Software.

   "Change License" means the MIT License
   (https://opensource.org/licenses/MIT).

   "Competing Use" means making the Software or a functionally similar
   product available to third parties as a hosted or managed service —
   specifically, providing shared goal state, session coordination, task
   queuing, or human-in-the-loop workflow functionality to users outside
   your own organization. Internal use within your own organization,
   regardless of organization size, is not Competing Use.

   "Commercial Deployment Guide" means any publicly accessible
   documentation, tutorial, blog post, video, Helm chart, Docker Compose
   file, or similar material whose primary purpose is enabling third
   parties to operate the Software commercially or as a multi-tenant
   service. Internal deployment documentation for your own organization's
   use, and general tutorials about using Meridian as a user, are
   explicitly not Commercial Deployment Guides.

   "Local Use" means installation and operation of the Software on
   machines owned or controlled by you or your organization, where
   access is limited to members of your own organization.

2. GRANT OF RIGHTS

   Subject to the terms and conditions of this License, and except for
   Competing Use as defined above, the Licensor grants you a worldwide,
   royalty-free, non-sublicensable, non-exclusive license to:

   a) Use, copy, modify, and distribute the Software for any purpose,
      including commercial purposes within your own organization.

   b) Self-host the Software internally for any team size, connecting
      to external hosted databases as needed.

   c) Run the Software in CI/CD pipelines and automated workflows for
      your own projects.

   d) Use the Software for academic, research, and educational purposes,
      including publication of findings.

   e) Write internal deployment documentation, scripts, and tooling for
      your own organization's use.

   f) Distribute unmodified copies for evaluation or non-commercial
      purposes, provided this license is retained in full.

3. RESTRICTIONS

   During the Protection Period, the following are not permitted without
   a separate written commercial license from the Licensor:

   a) Competing Use — making the Software or a functionally similar
      product available to third parties as a hosted or managed service.

   b) Publishing Commercial Deployment Guides — openly distributing
      guides, tooling, or materials whose primary purpose is enabling
      third parties to commercially operate the Software.

   c) White-labeling — distributing the Software or derivatives with
      Licensor attribution removed or obscured, for the purpose of
      offering it as a competing product or service.

   d) AI Training Use — using the Software, its source code, or
      documentation as training data for machine learning models
      intended for commercial distribution or sale without prior
      written permission from the Licensor.

   e) Sublicensing or reselling the Software or derivatives as a
      standalone commercial product for third parties.

4. PATENT GRANT

   Subject to the terms of this License, the Licensor hereby grants
   you a perpetual, worldwide, royalty-free, non-exclusive patent
   license to make, use, sell, and distribute the Software, solely
   to the extent necessary to exercise the rights granted in Section 2.
   This patent grant does not extend to Competing Use or any use
   restricted under Section 3.

5. LICENSE CONVERSION

   On each version's Change Date, that version of the Software will
   automatically be made available under the Change License (MIT).
   This conversion is irrevocable and requires no further action.
   Subsequent versions may carry their own Protection Period and
   Change Date under a new MSL notice.

6. ATTRIBUTION

   Any permitted use, modification, or redistribution must retain this
   license text, the copyright notice, and original attribution intact.
   You may not remove, alter, or obscure any copyright or license
   notices included with the Software.

7. CONTRIBUTIONS

   By submitting any contribution to this project, the contributor
   grants the Licensor a perpetual, worldwide, royalty-free, irrevocable
   license to use, modify, reproduce, and distribute that contribution
   under any license the Licensor sees fit, including future versions
   of this license or commercial licenses. Contributors retain copyright
   in their own contributions.

8. DISCLAIMER OF WARRANTY

   THIS SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND,
   EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
   MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
   NON-INFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY
   CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT, OR
   OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE
   OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

9. LIMITATION OF LIABILITY

   IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
   SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS,
   LOSS OF DATA, OR BUSINESS INTERRUPTION) HOWEVER CAUSED, EVEN IF
   ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

10. GOVERNING LAW

    This License shall be governed by and construed in accordance with
    the laws of the State of Florida, United States, without regard to
    its conflict of law provisions. Any disputes arising under this
    License shall be subject to the exclusive jurisdiction of the state
    and federal courts located in Florida.
