This Investment Agreement is entered into as of April 5, 2026 by and between Acme Corp and Wayne Data Holdings.

Acme Corp, with offices at 42 Maple Street, Springfield, IL 62704.

Wayne Data Holdings, with offices at 1 Park Plaza, New York, NY 10022.

Terms

• Round: Series B preferred stock
• Amount: $15,000,000 at a $90,000,000 pre-money valuation
• Rights: one board seat and standard pro-rata participation
• Close: subject to customary closing conditions

Total value: $15,000,000.
